MERGERS & ACQUISITIONS
Human capital practices, employee benefit arrangements, retirement complexities, and compensation can be both complex and financially significant. Craford’s mergers and acquisitions services are focused on helping our Private Equity clients understand the arrangements in place, identifying the issues created by the deal and finding solutions that will assist in the successful completion and implementation of the transaction at the right price. Craford and its partners have expertise in advising clients on global and multi-country deals. We work with some of the most respected private equity, investor, accounting and law firms.
The key principles that we apply when carrying out M&A work are:
- Advise the deal team of potential financial issues at the earliest possible opportunity and in a form they can easily understand.
- Estimate the effect on the balance sheet, P&L and cash flow of any issue uncovered and their potential impact on the sale price and on the wording of the Sale and Purchase Agreement.
- Use pre-deal research to develop a blue print for integration.
- Specific to Private Equity portfolios, begin the planning process to immediately bring a new entrant into an existing portfolio.
Before the deal, Craford can also work with clients to develop their in-house M&A capabilities in the area of employee benefits, compensation and human resources. We can organize and/or facilitate M&A training sessions for your management teams and help develop tailored toolkits, guidelines, processes and methodologies to apply to future transactions.
POST-DEAL: MAXIMIZING VALUE
It is widely recognized that the best purchasers are those that successfully integrate transactions, as it is in the post-deal phase that the real value of the deal is realized.
The treatment of employees’ benefits and compensation will impact their attitude toward the transaction and the new parent company.
Our network of partners and internal team of highly experienced consultants provides the breadth and expertise necessary to help clients manage benefits and compensation integration in large or small transactions.
